What is the Gatehouse Partners Fund?

As of March 31, 2023, the Gatehouse Partners Funds are Gatehouse Real Estate Trust (“Gatehouse Trust”) and Gatehouse (Proper) Limited Partnership (“Gatehouse Proper LP”) (together with any future limited partnerships formed the “Gatehouse Partners Funds”). Qualified investors may use cash to purchase limited partnership units of Gatehouse Proper LP, or purchase designated trust units of Gatehouse Trust using cash or funds from their new or existing registered savings plans, such as the Tax-Free Savings Account (TFSA), the Registered Retirement Savings Plan (RRSP), the Locked In Retirement Account (LIRA), and the Registered Retirement Income Fund (RRIF). Gatehouse Trust intends to elect to become a mutual fund trust under the Income Tax Act (Canada) within 90 days after its first year end. The Gatehouse Partners Funds are part of the Gatehouse Group, which includes Gatehouse Developments Inc., Gatehouse Construction Inc. and other related entities.

The Gatehouse Real Estate Trust offers investment opportunities with varying fund lengths, typically averaging between 3 to 5 years for completion. The minimum investment required to participate in these opportunities is $5,000. Purchase Exemptions and Minimum Investment Requirements

Units of Gatehouse Real Estate Trust and Gatehouse Proper Limited Partnership (the "Gatehouse Funds") are generally available to investors who can meet certain eligibility requirements under one of two exemptions from the prospectus requirement in order to invest. The exemptions and their minimum initial investment amounts in accordance with applicable securities laws are:

Accredited Investor Exemption

This exemption is available only to Canadian investors who are "accredited investors" as defined in National Instrument 45-106 - Prospectus Exemption. The minimum initial purchase amount is $5,000 (as established by the Administrative Agent) under this exemption for all Series 1 – Class B Trust Units and Series 1 – Class B LP Units. The minimum and maximum purchase amount is $500 (as established by the Administrative Agent) under this exemption for all Series 1 – Class A Trust Units (which are available only to select investors).

Minimum Amount Exemption

This exemption is available to all Canadian investors who are not individuals and the minimum initial purchase amount is $150,000.00 for all Series 1 – Class B Trust Units and Series 1 – Class B LP Units.

Offering Memorandum Exemption

This exemption is available to all British Columbia and Newfoundland Labrador residents relying on the offering memorandum exemption. The minimum initial purchase amount is $5,000 (as established by the Administrative Agent) under this exemption for all Series 1 – Class B Trust Units and Series 1 – Class B LP Units. The minimum and maximum purchase amount is $500 (as established by the Administrative Agent) under this exemption for all Series 1 – Class A Trust Units (which are available only to select investors).
